On August 11, 2022, the Board of Directors of Enact Holdings, Inc., a Delaware corporation (the "Company"), approved the fourth Amendment to the Amended and Restated Bylaws of the Company (the "Fourth Amendment"). The Fourth Amendment, which was adopted effective as of August 11, 2022, allows the Independent Capital Committee (the “ICC”) to consist
of a minimum of three (3) independent directors. ThisFourth Amendment allows the ICC to have three (3) or more independent directors as members, in the Board’s discretion, as opposed to only allowing three (3) independent directors as members under the prior Bylaws.A complete copy of the Company's current Bylaws, including the language added by the Fourth Amendment appearing as Section 3.12, is attached to this report as an Exhibit.
