State below in reasonable detail why Forms 10-K, 20-F, 11-K, 10-Q, 10-D, N-CEN, N-CSR, or the transition report or portion thereof, could not be filed within the prescribed time period.

As of April 1, 2022, Volta Inc. (the “Company” or “we”) is unable to complete the filing of its Annual Report on Form 10-K (“Form 10-K”) for the year ended December 31, 2021 within the prescribed time without unreasonable effort or expense. As disclosed in its press release dated March 28, 2022, the Company recently experienced certain management transitions and the completion of a restatement of its unaudited interim financial statements for the quarter ended September 30, 2021, each of which contributed to delays in the completion of the preparation and issuance of the financial statements contained in the Form 10-K. The Company expects to file its Form 10-K within the fifteen-day extension period provided under Rule 12b-25 of the Securities Exchange Act of 1934, as amended (the “Exchange Act”).
