5.02. Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers; Compensatory Arrangements of Certain Officers.
On March 15, 2024, W. Gil West notified the Board of Directors (the “Board”) of Forward Air Corporation (the “Company”) that he will not stand for re-election to the Board at the Company’s 2024 Annual Meeting of Shareholders to focus on his new role as Chief Executive Officer of Hertz Global Holdings, Inc. Mr. West’s departure did not involve any dispute or disagreement with the Company, the Company’s management or the Board.
