ITEM 1.01 ENTRY INTO A MATERIAL DEFINITIVE AGREEMENT
On February 5, 2019, Cosmos Holdings Inc. (the “Company”) entered into a Stock Purchase Agreement (the “SPA”) with an institutional noteholder in the Company. The SPA provides for the purchase of 193,408 shares of the Company’s common stock at $3.00 per share or an aggregate of $580,224. Payment is scheduled over a five month period, subject to acceleration if the Company effects an eligible equity offering (as defined).
