Gyrodyne, LLC is unable to file its quarterly report on Form 10-Q for the period ended September 30, 2015 (the “Report”) within the prescribed time period due to its difficulty in completing and obtaining required financial and other information without unreasonable effort and expense following the consummation of the merger of Gyrodyne Company of America, Inc. and Gyrodyne Special Distribution, LLC into Gyrodyne, LLC within the quarterly period covered by the Report (August 31, 2015) . Gyrodyne, LLC intends to file the Report within the 5-day extension period afforded by SEC Rule 12b-25 under the Securities Exchange Act of 1934, as amended.
