Item 5.02.
Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On February 4, 2021, Colombe M. Nicholas, a member of the board of directors (the “Board”) of Kimco Realty Corporation (the “Company”), informed the Company that she will not stand for re-election to the Board at the Company’s 2021 annual meeting of stockholders (the “2021 Annual Meeting”), which is scheduled to be held on April 27, 2021.
The Company thanks Ms. Nicholas for her exemplary service since joining the Board in 2011. Ms. Nicholas’ decision was not the result of a disagreement with the Company on any matter relating to the Company’s operations, policies or practices. Ms. Nicholas will remain a director and maintain her committee memberships through the 2021 Annual Meeting.
