Retirement of Director.

On August 22, 2022, Farmers and Merchants Bank (the “Bank”), the wholly-owned subsidiary of Farmers and Merchants Bancshares, Inc. (the “Company”), received a letter from John J. Schuster, Jr. in which he notified the Bank that he was retiring as a director of the Bank and of the Company for personal reasons. Mr. Schuster’s decision to retire was not due to a disagreement with the Bank or the Company on any matter relating to their respective operations, policies or practices.
