On September 15, 2016, the Company filed a Certificate of Amendment to the Amended and Restated Certificate
of Incorporation of the Company (the “Certificate of Amendment”) with the Secretary of State of the State of Delaware to increase the number of authorized shares of Common Stock from 450,000,000 to 2,000,000,000. The Certificate of Amendment was approved at the Company’s Special Meeting of Stockholders held on September 15, 2016.

The Company held a Special Meeting of Stockholders (“Special Meeting”) on September 15, 2016. The matters voted upon at the Special Meeting and the results of such voting are further described below.
Proposal 1 – To approve a Certificate of Amendment to the Company's Amended and Restated Certificate of Incorporation to increase the number of authorized shares of the Company’s common stock from 450,000,000 to 2,000,000,000.
