On December 22, 2014, the Company filed a Certificate of Amendment to the Amended and Restated Certificate of Incorporation of the Company (the “Certificate of Amendment”) with the Secretary of State of the State of Delaware to increase the number of authorized shares of Common Stock from 150,000,000 to 450,000,000. The Certificate of Amendment was approved at the
Company’s Special Meeting of Stockholders held on December 22, 2014.
