Item 1.01. Entry into a Material Definitive Agreement.
On November 1, 2004, the non-employee directors of Park-Ohio Holdings Corp. (the "Company") each received 2,000 restricted shares of the Company's common stock. The restricted shares were granted to each non-employee director pursuant to a Restricted Share Agreement between the Company and each such director. A copy of the form of the Restricted Share Agreement is attached as Exhibit 10.1 to this Current Report and incorporated herein by reference.
