The securities to be registered hereby are shares of Class A common stock, par value $0.01 per share, of Greenlane Holdings, Inc. (the “Registrant”). The information required by this Item 1 is incorporated herein by reference to the information set forth under “Description of Capital Stock” in the Registrant’s Registration Statement on Form S-1 (File No. 333-230405) under the Securities Act of 1933, as filed with the Securities and Exchange Commission (the “Commission”) on March 20, 2019, and as amended on April 8, 2019, (as amended from time to time, the “S-1 Registration Statement”).
