State below in reasonable detail why Forms 10-K, 20-F, 11-K, 10-Q, 10-D, N-SAR, N-CSR, or the transition report or portion thereof, could not be filed within the prescribed time period.
BiondVax Pharmaceuticals Ltd. (the “Company”) was unable to file its Annual Report on Form 20-F on a timely basis without unreasonable effort or expense because the Company requires additional time to complete its assessment of the effectiveness of internal controls over financial reporting, or ICFR, as of December 31, 2020 and, as a consequence, for the Company’s independent registered public accounting firm, Kost Forer Gabbay & Kasierer, a member of Ernst & Young Global (“EY Israel”), to complete its attestation report on the effectiveness of the Company’s ICFR for such period. EY Israel is providing such attestation report for the first time this year since the Company is no longer an emerging growth company. The Company anticipates that it will file the Form 20-F no later than the fifteenth calendar day following the prescribed filing date.
