The description of the ordinary shares, par value $0.0002 per share (the “Ordinary Shares”), of Huadi International Group Co., Ltd., a Cayman Islands corporation, (the “Registrant”) is set forth under the heading “Description of Ordinary Shares” contained in the Registrant’s registration statement on Form F-1 (File No. 333-248919), as initially filed with the Securities and Exchange Commission (the “Commission”) on September 18, 2020, as subsequently amended (the “Registration Statement”), and by any prospectus subsequently filed pursuant to Rule 424(b) under the Securities Act of 1933, as amended, which information is incorporated herein by reference.
