Item 8.01 Other Events

 

On January 10, 2021, B. Riley Financial, Inc., a Delaware corporation (“BRF”), and B. Riley Principal Merger Corp. III, a Delaware corporation and an indirect wholly-owned subsidiary of BRF (“Merger Sub”), entered into an Agreement and Plan of Merger (the “Merger Agreement”) with National Holdings Corporation, a Delaware corporation (“NHLD”). The Merger Agreement provides for the acquisition of NHLD by BRF through a cash tender offer (the “Offer”) by Merger Sub for all of NHLD’s outstanding shares of common stock (“Common Stock”), other than the shares of Common Stock owned by BRF and its subsidiaries, for $3.25 per share of Common Stock in cash, without interest.

 

Following the consummation of the Offer, subject to the absence of legal restraints preventing the consummation of the Merger (as defined below) and the satisfaction or waiver of certain customary conditions set forth in the Merger Agreement, Merger Sub will merge with and into NHLD (the “Merger”), with NHLD surviving as a wholly owned subsidiary of BRF, pursuant to the procedure provided for under Section 251(h) of the Delaware General Corporation Law, without any additional stockholder approvals. The Merger will be effected as soon as practicable following the time of purchase by Merger Sub of shares of Common Stock validly tendered and not withdrawn in the Offer.

 

On January 11, 2021, BRF and NHLD jointly issued a press release announcing entry into the Merger Agreement. A copy of that press release is filed as Exhibit 99.1 hereto and is incorporated herein by reference.
