Wearable Devices Ltd. (the “Registrant”) hereby incorporates by reference (a) the description of its ordinary shares, NIS 0.01 per share, (“Ordinary Shares”) and warrants to purchase Ordinary Shares (each, a “Warrant”), each to be registered hereunder under the headings “Description of Share Capital” and “Description of the Securities We Are Offering” and (b) the information set forth under the heading “Taxation,” each in the Registrant’s Registration Statement on Form F-1 (File No. 333-262838) initially filed with the Securities and Exchange Commission (the “Commission”) on February 18, 2022 (and as subsequently amended and supplemented, the “Registration Statement”), and any prospectus that constitutes part of the Registration Statement and that is subsequently filed by the Registrant with the Commission pursuant to Rule 424(b) under the Securities Act of 1933, as amended, which information shall be deemed to be incorporated herein by reference.
