ADS-TEC Energy Public Limited Company (the “Registrant”) is unable to file with the Securities and Exchange Commission, without unreasonable effort or expense, its Annual Report on Form 20-F for the year ended December 31, 2022 (the “Annual Report”) by May 1, 2023, the prescribed due date for such filing. Additional time is needed for the Registrant to finalize its consolidated financial statements for the year ended December 31, 2022, and, as a consequence, for the Registrant’s independent registered public accounting firm to complete its audit procedures related thereto. The Registrant anticipates that it will file the Annual Report no later than the fifteenth calendar day following the prescribed filing date.
