A description of the securities of XPO Logistics, Inc. (the “Registrant”) to be registered hereby is set forth under the caption “Description of Common Stock” in the Registration Statement (Registration No. 333-176700) on Form S-3 (the “Registration Statement”) of the Registrant filed with the Securities and Exchange Commission pursuant to the Securities Act of 1933, as amended, on September 20, 2011.
