Hortonworks, Inc. (the “Registrant”) registers hereunder its common stock, par value $0.0001 per share (the “Common Stock”). A description of the Registrant’s Common Stock and a description of the anti-takeover effects of the Registrant’s Amended and Restated Certificate of Incorporation and Amended and Restated Bylaws are incorporated by reference herein from the information set forth under the heading “Description of Capital Stock” in the Registrant’s Registration Statement on Form S-1, as amended (File No. 333-200044) (the “Registration Statement”), confidentially submitted to the Securities and Exchange Commission (the “Commission”) on June 27, 2014 and publicly filed with the Commission on November 10, 2014, under the Securities Act of 1933, as amended (the “Securities Act”).
