Item 5.02

Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On October 12, 2020, the Board of Directors of Pyxus International, Inc. (the “Company”) elected each of the following as a director of the Company in connection with the increase in the size of the Board of Directors from three to seven: Robert George, Carl Hausmann, Cynthia Moehring and Richard Topping. No determination has yet been made by the Company’s Board of Directors with respect to the committees of the Board of Directors on which each of these newly elected directors is to serve or the terms of compensation to be provided to the members of the Board of Directors, including each of these newly elected directors.
