This Registration Statement on Form 8-A is being filed by Chart Industries, Inc., a Delaware corporation (the “Company”), in connection with the registration of its common stock, par value $0.01 (the “Common Stock”), pursuant to Section 12(b) of the Securities Exchange Act of 1934, as amended, and the transfer of the listing of the Company’s Common Stock from the Nasdaq Stock Market (the “Nasdaq”) to the New York Stock Exchange (the “NYSE”).
