Other Events

On August 9, 2021, CVS Health Corporation (“CVS Health”) issued a press release announcing the commencement of a cash tender offer for up to $2,000,000,000 aggregate principal amount, as may be increased or decreased by CVS Health, of its 4.300% Senior Notes due 2028. A copy of the press release is attached hereto as Exhibit 99.1.
