Item 1.01

Entry into a Material Definitive Agreement.

On September 28, 2022, Aerojet Rocketdyne Holdings, Inc. (the “Company”) entered into a second amendment (the “Amendment”) to its Fourth Amended and Restated Credit Agreement, dated as of June 17, 2016, among the Company, its material domestic subsidiaries from time to time party thereto as guarantors, Bank of America, N.A., a national banking association, as administrative agent, and other lender parties thereto (the “Lenders”), as amended by that certain First Amendment to Fourth Amended and Restated Credit Agreement, dated as of September 20, 2018. The Amendment states that, among other things, the Lenders will provide loans and other financial accommodations to the Company of up to $919,062,500 on a secured basis, including (i) a term loan facility in an aggregate principal amount of up to $269,062,500, and (ii) a revolving credit facility in an aggregate principal amount of up to $650,000,000. The term loan facility was decreased from an aggregate principal amount of up to $350,000,000. The Amendment also extends the maturity date from September 20, 2023 to September 20, 2025 and changes the interest rate benchmark for loans under the credit facilities from LIBOR to SOFR.
