Item 5.02.

Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On April 1, 2024, the Board of Directors of Lincoln Electric Holdings, Inc. (the “Company”) elected and appointed Michele R. Kuhrt to serve as Executive Vice President, Chief Transformation Officer of the Company effective as of April 8, 2024.

Ms. Kuhrt, 57, joined the Company in 2006 and has been serving as Executive Vice President, Chief Human Resources Officer since February 25, 2019. Prior to that, Ms. Kuhrt served as Executive Vice President, Chief Information Officer from July 1, 2016 to February 25, 2019, and Senior Vice President, Tax from 2006 to July 1, 2016.
