*On August 4, 2021, pursuant to an Agreement and Plan of Merger, dated as of June 11, 2021, by and among Iconix Acquisition LLC, a Delaware limited liability company (“Parent”), Iconix Merger Sub Inc., a Delaware corporation and a wholly owned subsidiary of Parent (“Purchaser”), and Iconix Brand Group, Inc., a Delaware corporation (the “Company”). At the closing, Purchaser merged with and into the Company (the “Merger”), with the Company surviving the Merger as the surviving corporation and as a wholly owned subsidiary of Parent.
