On May 26, 2022, stockholders of Comstock Mining Inc. (the “Company”) approved the amendment and restatement of the articles of incorporation of the Company (the “Articles”).Among the amendments to the Articles was the change of the Company’s name to “Comstock Inc.”
Accordingly, the Board of Directors of the Company also approved an amendment to the Company’s Amended and Restated Bylaws (the “Bylaws”) to reflect such name change among other things. The Company’s restated Articles will become effective upon filing as of May 31, 2022.
The text of the restated Articles and restated Bylaws are filed as Exhibits 3.1 and 3.2
to this Current Report on Form 8-K and incorporated herein by reference.
Item 5.07 Submission of Matters to a Vote of Security Holders.
On May 26, 2022, the Company held its Annual Meeting of Stockholders (the “Annual Meeting”). During the Annual Meeting, stockholders of the Company were asked to consider and vote upon five proposals: (1) election of the seven Board of Directors nominees set forth in the Company's 2022 Proxy Statement, (2) ratification of the appointment of
Assure CPA, LLC as the Company’s independent registered public accounting firm for the fiscal year ending December 31, 2022, (3) approval of a non-binding advisory resolution approving the compensation of the Company’s named executive officers, (4) approval of the amendment and restatement of the Company’s articles of incorporation, and (5) approval of the Company’s 2022 equity incentive plan .

release announcing the results of the Annual Meeting and the other matters described in this report is attached as Exhibit 99.1 to this Form 8-K.
As of the record date for the Annual Meeting, March 31, 2022, there were 67,707,832 shares of common stock outstanding and entitled to vote. Of the shares of common stock outstanding on the record date, the holders of common stock entitled to vote with respect to 50,522,904 shares of common stock were represented in person or by proxy at the Annual Meeting. For each proposal, the results of the shareholder voting were as follows:
1. Election of directors.
All of the nominees for directors were
elected to serve for a term that expires at the 2023 annual meeting of stockholders, by the votes set forth below.
There were 12,063,335 broker non-votes with respect to this proposal.
2. Ratification of appointment of independent registered public accounting firm (the “auditors.”)
The appointment of Assure CPA, LLC, as the Company’s auditors for the fiscal year ending December 31, 2022, was ratified by the stockholders as set forth below.
