PART III — NARRATIVE

 

State below in reasonable detail why Forms 10-K, 20-F, 11-K, 10-Q, 10-D, N-SAR, N-CSR, or the transition report or portion thereof, could not be filed within the prescribed time period.

 

Callidus Software Inc. (“Callidus Software” or “the Company”) is unable to timely file its Annual Report on Form 10-K for the year ended December 31, 2010 (the “Form 10-K”) without unreasonable effort or expense by the prescribed due date, due to unanticipated delays experienced in the preparation of the Form 10-K. These delays were primarily a result of performing additional analyses and reviews of the Company’s internal control over financial reporting. These additional procedures were required because the Company was unable to rely on the control environment for one of its third party professional services automation service providers.

 

Callidus Software currently anticipates that the Form 10-K will be filed on or before the fifteenth calendar day following the prescribed due date.
