Item 8.01 Other Events.

 

Pricing of Senior Notes Offering

 

On January 4, 2022, Royal Caribbean Cruises Ltd. (the “Company”) issued a press release announcing that it has priced its private offering of $1,000,000,000 aggregate principal amount of 5.375% senior unsecured notes due 2027 (the “Notes”). The Notes are expected to be issued on or around January 7, 2022. A copy of the press release is attached hereto as Exhibit 99.1 and is incorporated by reference herein.

 

The Company intends to use the proceeds from the sale of the Notes to repay principal payments on debt maturing in 2022 (including to pay fees and expenses in connection with such repayments). Pending such uses, the Company may temporarily apply the proceeds to repay borrowings under its revolving credit facilities or other borrowings.

 

The Notes are being offered only to persons reasonably believed to be qualified institutional buyers in reliance on Rule 144A under the Securities Act, as amended (the “Securities Act”), and outside the United States, only to certain non-U.S. investors pursuant to Regulation S under the Securities Act. The Notes will not be registered under the Securities Act or any state securities laws and may not be offered or sold in the United States absent registration or an applicable exemption from the registration requirements of the Securities Act and applicable state laws.
