On June 23, 2023, the Company had previously issued $1.6 million of principal amount of pursuant to the Original SPA, which provided that the Company may issue up to an aggregate of $5.1 million of principal amount under the Original Note. Accordingly, after the Subsequent Tranche, $1.75 million of principal amount of the Original Note remains available to be funded over additional closings at the discretion of the Investor during the 36 months following the date of the Original SPA, after the satisfaction or waiver of the applicable closing conditions.
