Item 7.01Regulation FD Disclosure.

 

On February 25, 2021, Vivint, Inc. (“Vivint”) filed a complaint against ADT Inc. (“ADT”) in the United States District Court for the District of Utah, Central Division, claiming that ADT has infringed certain of Vivint’s patents and requesting, among other things, treble damages. ADT believes the claims asserted by Vivint are completely without merit and intends to vigorously defend against the lawsuit. Because this lawsuit is in the early stages, no reasonable estimate of possible loss, if any, can be made at this time. ADT, however, does not expect this lawsuit would have a material adverse impact on ADT’s business, financial condition, results of operations or cash flows.
