Item 7.01. Regulation FD Disclosure.

 

On February 19, 2021, Spectrum Brands Holdings, Inc. (the “Company” ) issued a press release (the “Press Release”) announcing that Spectrum Brands, Inc., its indirect wholly-owned subsidiary, has increased from $500.0 million to $550.0 million the aggregate principal amount of its 5.750% Senior Notes due 2025 it has offered to purchase pursuant to the tender offer previously announced on February 16, 2021 (the “2025 Notes Tender Offer”). The terms and conditions of the 2025 Notes Tender Offer are set forth in an Offer to Purchase, dated February 16, 2021, as amended and supplemented by the Press Release. A copy of the Press Release is furnished with this report as Exhibit 99.1 and is incorporated herein by reference.
