Item 8.01. Other Events.
On August 3, 2022, GerCo Holdings, Inc. (“GerCo”), a wholly-owned indirect subsidiary of Worthington Industries, Inc. (the “Company”), sold its 50% interest in the ArtiFlex Manufacturing, LLC (“ArtiFlex”) unconsolidated joint venture to the unaffiliated member of the joint venture for approximately $47.5 million, subject to closing adjustments. The divestiture closed on August 3, 2022 and included GerCo’s equity interest in ArtiFlex, as well as the Wooster, Ohio facility that was owned by GerCo and leased to ArtiFlex. As a result of the transaction, the Company expects to record a pre-tax loss of approximately $14.0 million below operating income for the quarterly period ended August 31, 2022.
