EXPLANATORY NOTE
On December 3, 2020, Dollar Tree, Inc. (the “Company”) appointed Winnie Park to the Company’s Board of Directors, as previously reported in the Form 8-K filed by the Company with the Securities and Exchange Commission on December
3, 2020 (the “Original Form 8-K”). In the Original Form 8-K, the Company reported that the Board of Directors had not yet determined the committees of the Board to which Ms. Park would be appointed and that the Company would file an amendment to the Original Form 8-K naming those committees once they were determined.

Effective March 11, 2021, the Board of Directors of the
Company appointed Ms. Park as a member of the Audit Committee of the Board of Directors.
