ITEM 7.01 Regulation FD Disclosure.
On June 5, 2023, Bio-Rad Laboratories, Inc. (the
“Company”) provided an update of its quarter-to-date repurchases under its share repurchase program (“Share Repurchase Program”) that was authorized by the Company’s Board of Directors in November 2017, July 2020, and July 2022, granting the Company authority to repurchase, on a discretionary basis, up to $650.0 million of outstanding shares of its common stock.
As of June 5, 2023, quarter-to-date, the Company has completed the purchase of $207.4 million of the outstanding Class A shares of the Company’s stock on the
open market pursuant to the Share Repurchase Program. During this time period, the Company acquired 549,863 shares at an average purchase price of $377.20 per share, inclusive of commissions. As of June 5, 2023, the Company has repurchased a total of $650 million under the Share Repurchase Program, which completes the current level of authorized purchases under the Share Repurchase Program. Management plans to seek approval from the Board of Directors in the third quarter for additional purchase authority under the Share Repurchase Program. Repurchases under the Share Repurchase Program may be made at management's discretion from time to time on the open market or through privately negotiated transactions. The Share Repurchase Program has no time limit
and may be suspended for periods or discontinued at any time. Any shares acquired will be available for general corporate purposes, including supporting employee stock plans, funding acquisitions and minimizing dilution from stock issuances. The Company may execute additional share repurchases at any time until the full amount of the repurchase authorization is exhausted.
