5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On January 19, 2021, Thomas J. Baltimore, Jr., a member of the Board of Directors (the “Board”) of AutoNation, Inc. (the “Company”), notified the Company that he was resigning from the Board effective January 19, 2021, due to other professional commitments, and not due to any disagreement with the Company on any matter related to the Company’s operations, policies, or practices. A copy of Mr. Baltimore’s
letter of resignation is attached as Exhibit 99.1 to this Current Report on Form 8-K.
