Pursuant to the terms of the Cooperation Agreement
between Hawaiian Electric Industries, Inc. (“HEI”) and Inclusive Capital Partners, L.P. (“ICP”), as a result of ICP ceasing to beneficially own at least 1% of HEI's common stock, Eva T. Zlotnicka has resigned as a director of HEI, effective May 17, 2021. Ms. Zlotnicka is not resigning due to any disagreement with HEI on any matter relating to its operations, policies or practices.
