Compensatory Arrangements of Certain Officers.
This is an amendment to Item 5.02 of the Current Report on Form 8-K that was filed by McDonald’s Corporation (the “Company”) on August 22, 2022, which reported that on August 18, 2022, the Company’s Board of Directors (the “Board”) elected Anthony G. Capuano, Jennifer L. Taubert and Amy E. Weaver as Directors, effective October 1, 2022.
On November 28, 2022, the Board made the following appointments, each effective December
1, 2022: (i) Mr. Capuano was appointed to the Board’s Compensation Committee and Public Policy & Strategy Committee; (ii) Ms. Taubert was appointed to the Board’s Compensation Committee and Public Policy & Strategy Committee; and (iii) Ms. Weaver was appointed to the Board’s Audit & Finance Committee and Governance Committee.
