Item 1.01 Entry into a Material Definitive Agreement
On June 10, 2021, Tri Pointe Homes, Inc. (the “Company”) entered into a Second Modification Agreement (the “Modification”) to its Second Amended and Restated Credit Agreement, dated as of March 29, 2019 (as modified, supplemented or amended, the “Credit Agreement”), among the
Company, U.S. Bank National Association, d/b/a Housing Capital Company, as administrative agent (the “Agent”) and the lenders party thereto (the “Lenders”). The Modification was entered into by and among the Company, the Lenders and U.S. Bank. The Modification, among other things, (i) increases the maximum amount of the revolving credit facility (the “Revolving Facility”) under the Credit Agreement from $600.0 million to $650.0 million and (ii) extends the maturity date of both the Revolving Facility and term loan facility (the “Term Facility”) under the Credit Agreement to June 10, 2026; provided that the maturity date for $45.0 million of commitments under the Revolving Facility and $30.0 million of loans under the Term Facility, respectively, were not extended and remain scheduled to mature on March
29, 2023.
