(e) As described in the Current Report on Form 8-K previously filed with the Securities and Exchange Commission by TransUnion (the “Company”) on March 2, 2021, John T. Danaher, former President, Consumer Interactive, transitioned into an advisory role at the
Company on April 1, 2021 and will retire from the Company in February 2022.
On April 1, 2021, the Company and Mr. Danaher entered into a Retirement and Transition Agreement (the “Retirement Agreement”) in connection with Mr. Danaher’s transition and upcoming retirement from the Company.
Pursuant to the Retirement Agreement, Mr. Danaher will serve as Executive Vice President, Strategic Advisor, Consumer Interactive, providing specified transition services and reporting to the
Company’s President and Chief Executive Officer, through February 1, 2022, on which date he will retire from the Company (the “Retirement Date”). Under the Retirement Agreement, Mr. Danaher will be entitled to a salary through the Retirement Date at an annual rate of $400,000 and an annual incentive bonus for 2021 of $500,000, subject to continued employment through the Retirement Date.
