5.02. Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers.
On January 18, 2021, the Board of Directors (the “Board”) of Keurig Dr Pepper Inc. (the “Company”) appointed Juliette Hickman as an independent member of the Board, effective immediately. Ms. Hickman will serve for an initial term to expire concurrently with the terms of the other members of the Board at the Company’s 2021 annual meeting of stockholders, or until her earlier death, resignation or removal. Additionally, Ms. Hickman was appointed to the Board’s Renumeration and Nomination Committee.
There are no arrangements or understandings between Ms. Hickman
and any other persons pursuant to which Ms. Hickman was appointed as a director and Ms. Hickman is not a party to any transaction with the Company reportable under Item 404(a) of Regulation S-K under the Securities Act of 1933. Ms. Hickman will participate in the compensation arrangements for non-employee directors as described in the Company’s 2020 proxy statement filed with the SEC on April 29, 2020.
