Item 2.02 Results of Operations and Financial Condition.
On July 7, 2022, Upstart Holdings, Inc. (“Upstart”) issued a press
release announcing certain unaudited, preliminary financial results for the fiscal quarter ended June 30, 2022. A copy of the press release is furnished as Exhibit 99.1 to this report and is incorporated by reference herein. The preliminary results in the press release are approximate and based on Upstart’s reasonable estimates and the information available at this time and, because of their preliminary nature, in certain cases, Upstart has provided ranges, rather than specific amounts.
