Item 7.01 Regulation FD Disclosure.
On June 2, 2023, TEGNA Inc. (the “Company”) issued a press
release announcing its entrance into the Accelerated Share Repurchase Agreement described in Item 8.01 below and the previously disclosed transfer of 8,640,452 shares of the Company's common stock, par value $1.00 per share ("Common Stock"), to the Company from affiliates of Standard General L.P. ("Standard General") in satisfaction of the termination fee due to the Company pursuant to that certain Agreement and Plan of Merger, dated as of February 22, 2022 (as amended by Amendment No. 1 thereto on March 10, 2022) by and
among the Company, certain affiliates of Standard General and the other parties thereto. A copy of the Company’s press release is furnished herewith as Exhibit 99.1 to this Current Report on Form 8-K.

Item 8.01 Other Events.
On June 2, 2023, the Company entered into an Accelerated Share Repurchase Agreement (the “ASR”) with JPMorgan Chase Bank, National Association (“JPMorgan”) to repurchase an aggregate of $300 million of shares of Common Stock, pursuant to a newly authorized $300 million stock repurchase program. Under the ASR, the Company will make an initial payment to JPMorgan of $300 million, and will receive an initial delivery of approximately 15.2 million shares of Common Stock on June
6, 2023. The final number of shares to be repurchased will be based on the average daily volume-weighted average price of the Company’s Common Stock during the term of the ASR, less a discount and subject to customary adjustments pursuant to the terms of the ASR. At settlement, JPMorgan may be required to deliver additional shares of Common Stock to the Company, or, under certain circumstances, the Company may be required to make a cash payment or deliver shares of Common Stock to JPMorgan. The final settlement of the ASR is expected to be completed by the end of the third quarter of 2023, subject to acceleration at JPMorgan’s discretion.
