Explanation of Responses:

(1) On June 19, 2008, the reporting person priced a prepaid variable forward sale contract with an unaffiliated third party buyer. The contract obligates the reporting person to deliver to the buyer, on 6/24/08 (the "Settlement Date"), up to 150,000 shares of Switch & Data Facilities Company, Inc. ("SDXC") common stock (or, at the reporting person's election, an equivalent amount of cash based on the market price of SDXC common stock). In exchange for assuming this obligation, the reporting person has received a cash payment of $2,207,250. The reporting person pledged 150,000 shares of SDXC common stock (the "Pledged Shares") to secure his obligations under the contract, and retained dividend and voting rights in the Pledged Shares during the term of the pledge (except any extraordinary dividends that may be paid by SDXC with respect to such Pledged Shares).

(2) The floor price is $18.00 and the threshold price is $26.00. The actual number of shares to be sold under the contract depend upon the market price of the SDXC common stock on the Settlement Date and a formula calculated based on the floor price and the threshold price.
