Item 5.02

Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On January 19, 2021, John P. McGinnis, President of Seneca Resources Company, LLC (“Seneca”), provided notice to National Fuel Gas Company (the “Company”) of his intention to retire, effective May 1, 2021. Seneca, a wholly owned subsidiary of the Company, constitutes the Company’s Exploration and Production segment.
