Other Events.

On April 12, 2021, Nuance Communications, Inc. (the “Company”) and Microsoft Corporation (“Microsoft”) issued a joint press release announcing the execution of a Merger Agreement (the “Merger Agreement”), entered into as of April 11, 2021, by and among the Company, Microsoft and Big Sky Merger Sub Inc. A copy of the press release is filed as Exhibit 99.1 to this report and incorporated herein by reference.
