Item 1.01

Entry into a Material Definitive Agreement.

On September 28, 2022, Dominion Energy, Inc. and its wholly-owned subsidiaries, Virginia Electric and Power Company, Questar Gas Company and Dominion Energy South Carolina, Inc., entered into an amendment to their existing Fifth Amended and Restated Revolving Credit Agreement, dated as of June 9, 2021, with JPMorgan Chase Bank, N.A., as Administrative Agent, and the other agents and lenders party thereto. The amendment includes certain administrative changes to the facility relating to the transition of the facility’s benchmark rate from the London Inter-Bank Offered Rate to a Secured Overnight Financing Rate. The amendment is filed as Exhibit 10.1 hereto and is incorporated herein by reference.
