Results of Operations and Financial Condition

On August 10, 2022, AppLovin Corporation (“AppLovin” or the “Company”) issued a press release announcing that AppLovin had issued a letter to its shareholders announcing its financial results for the quarter ended June 30, 2022. A copy of the press release and shareholder letter are attached as Exhibits 99.1 and 99.2 to this current report on Form 8-K and are incorporated by reference herein.

Resignation of Chief Accounting Officer

On August 10, 2022, AppLovin announced that, on August 8, 2022, Elena Arutunian, the Company’s Chief Accounting Officer and Principal Accounting Officer, tendered her resignation from her position with the Company, effective two business days following the filing of our Quarterly Report on Form 10-Q for the period ended June 30, 2022. Ms. Arutunian’s resignation was not a result of any disagreement on any matter relating to the Company’s operations, policies or procedures, or with the Company’s independent auditing firm.
