Item 1.01.  Entry Into a Material Definitive Agreement.

On August 10, 2022, Kimco Realty Corporation (“Kimco”) entered into an underwriting agreement (the Underwriting Agreement) with BMO Capital Markets Corp., PNC Capital Markets LLC, U.S. Bancorp Investments, Inc., and Wells Fargo Securities, LLC, as representatives of the several underwriters (collectively, the “Underwriters”), pursuant to which Kimco agreed to sell $650 million in aggregate principal amount of 4.600% Notes due 2033 (the “Notes”). The Notes are being offered and sold under a prospectus supplement and related prospectus filed with the Securities and Exchange Commission pursuant to Kimco’s shelf registration statement on Form S-3 (File No. 333-258872). Certain of the Underwriters and their affiliates may be customers of, engage in transactions with, and perform services for Kimco and its subsidiaries in the ordinary course of business.

Kimco intends to use the net proceeds from the offering to redeem all of its outstanding 3.50% Notes due 2023 and 3.125% Notes due 2023 and any additional proceeds will be used for general corporate purposes, including, but not limited to, funding for suitable investments and redevelopment opportunities.

On August 10, 2022, Kimco issued a press release (the “Pricing Press Release) announcing the pricing of its public offering of the Notes discussed in Item 1.01 above.
