Regulation FD Disclosure

On August 8, 2022, Kimco Realty Corporation (the “Company”) issued a press release announcing the redemption in full of its outstanding 3.375% Notes due 2022 (CUSIP No. 948741 AH6) (the “Senior Notes”).

A copy of the press release is attached hereto as Exhibit 99.1 and is incorporated herein by reference.

The information set forth in this Item 7.01, including Exhibit 99.1, is being furnished and shall not be deemed “filed” for purposes of Section 18 of the Securities Exchange Act of 1934, as amended (the “Exchange Act”), or otherwise subject to the liabilities of that Section. Item 8.01

Other Events.

On August 8, 2022, the Company issued a notice of redemption for $288.402 million aggregate principal amount of the Senior Notes, representing all of the outstanding Senior Notes. The Senior Notes will be redeemed on September 7, 2022 (the “Redemption Date”) at a redemption price equal to par, plus accrued and unpaid interest to, but not including, the Redemption Date.
