Mr. Karfunkel has obtained his shares principally for investment purposes.

(a)  1,250,000 shares of common stock, constituting approximately 16.66% of the 
issued and outstanding common stock.                                  

(b)  There is sole power to vote or to direct the vote and sole power to dispose
   or to direct the disposition of the 1,250,000 shares of common stock held
by Mr. Karfunkel.                                                     

(c)  None.                                                                      

(d)  No other person is known to have the right to receive or the power to      
direct the receipt of dividends from, or the proceeds from the sale of
such securities.
