1.01 Entry into a Material Definitive Agreement.
On August 31, 2022, Camden Property Trust, a Texas real estate investment trust (the "Company"), entered into that certain Fourth Amended and Restated Credit Agreement (the "Credit Agreement") with Bank of America, N.A., as Administrative Agent, JPMorgan Chase Bank, N.A., PNC Bank, National Association, Regions Bank, Truist Bank, and U.S. Bank National Association, as Syndication Agents, BMO Harris Bank, N.A., Mizuho Bank, Ltd., TD Bank, N.A., and The Bank of Nova Scotia, as Documentation Agents, and the other lenders party thereto, BofA Securities, Inc., JPMorgan Chase Bank N.A., PNC Capital Markets LLC, Regions Capital Markets, Truist Securities Inc., and U.S. Bank National Association, as Joint Lead Arrangers, BofA Securities, Inc., and JPMorgan Chase Bank N.A., as Joint Bookrunners.
The Credit Agreement amended and restated the Company's existing credit facility to, among other things, add a $300 million unsecured term loan facility with a delayed draw feature, and increase the size of its existing unsecured revolving credit facility from $900 million to $1.2 billion which may be expanded, upon the satisfaction of certain conditions, by up to three times and $500 million in the aggregate by requesting increases to the revolving credit facility and term loan facility or requesting additional term loans. The Credit Agreement also amended the maturity date of the revolving credit facility from March 2023 to August 2026, which may be extended at the Company's option for two additional consecutive six-month periods, and added a maturity date for the term loan of August 2024, which may
be extended at the Company's option to August 2025.
The Credit Agreement further provides for an interest rate based upon, at the Company's option, (a) one-, three-, or six-month Secured Overnight Financing Rate ("SOFR") plus, in each case, a spread based on the Company's credit rating, or (b) a base rate equal to the higher of: (i) the Federal Funds Rate plus 0.50%, (ii) Bank of America, N.A.'s prime rate, (iii) Term SOFR plus 1.0%, and (iv) 1.0%.
Certain of the
Company's subsidiaries have guaranteed the payment and performance of all of the Company's obligations under the Credit Agreement. The Company intends to use the proceeds from this credit facility for general corporate purposes, which may include the repayment of indebtedness, funding for development activities, and financing for acquisitions. The description herein of the Agreement is qualified in its entirety, and the terms therein are incorporated herein, by reference to the Agreement, a copy of which is filed as Exhibit 99.1 hereto.
